By creating an account or using the Clinix platform, you agree to these Terms of Service. Please read them carefully. If you do not agree, do not use the platform.

1. About Clinix

Clinix is a SaaS (Software as a Service) platform designed for private healthcare clinics. It provides tools for patient management, follow-up tracking, appointment logging, and clinic operations. Clinix is not a medical device, a clinical decision support system, or a substitute for professional medical judgement.

These Terms constitute a legally binding agreement between you (the clinic or individual user) and Clinix ("we", "us", "our").

Each clinic account is for use by that clinic's authorised staff only. Sharing accounts between separate clinics or organisations is not permitted.

4. Subscription and Payment

Pricing

Clinix is offered on a monthly subscription basis. Current pricing is displayed on our website and may vary by region. Prices are quoted in USD unless otherwise stated.

Billing

Failed payments

If a payment fails, we will notify you and attempt to process it again. If payment remains outstanding after 7 days, we may suspend access to your account until the balance is settled.

Refunds

Subscription fees are non-refundable except where required by applicable law. If you cancel mid-month, you retain access until the end of the billing period. We do not provide pro-rata refunds for unused days.

5. Cancellation

You may cancel your subscription at any time from your account settings or by contacting us at helloclinixtech@gmail.com. Cancellation takes effect at the end of the current billing period. You will not be charged for the following month.

Upon cancellation, you may export your data before access ends. After account closure, your data will be deleted in accordance with our Privacy Policy.

Important: Clinix is a data management tool. It is not a clinical system and does not provide medical advice. You are solely responsible for ensuring your use of Clinix complies with applicable healthcare regulations in your country.

Our role

Clinix acts as a data processor on your behalf for patient data. We process that data only as directed by you and as described in our Privacy Policy. We implement appropriate technical and organisational security measures to protect the data you store with us.

8. Intellectual Property

All intellectual property rights in the Clinix platform — including software, design, trademarks, and content — belong to us. These Terms do not grant you any ownership rights in the platform.

You retain ownership of all data you upload or enter into Clinix. By using the platform, you grant us a limited licence to store and process that data solely for the purpose of providing the service to you.

9. Availability and Uptime

We aim to keep Clinix available 24/7 but cannot guarantee uninterrupted access. We may occasionally take the platform offline for maintenance, updates, or reasons outside our control. We will provide advance notice of planned maintenance where possible.

We are not liable for losses caused by platform downtime, provided we have taken reasonable steps to minimise disruption.

10. Limitation of Liability

To the fullest extent permitted by applicable law:

We may update these Terms from time to time. We will notify you of material changes by email and by updating the "Last updated" date above. If you do not agree to the updated Terms, you must stop using the platform and cancel your subscription.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory local laws require otherwise.

If you are based outside the UK, you may also have rights under your local laws that we are required to respect. Nothing in this clause limits those rights.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Clinix regarding your use of the platform. They supersede any prior agreements or understandings.
